Akeyo Uganda Limited (trading as Akeyo Africa), registration number 80034087531681, a company incorporated under the Companies Act, 2012 of the Republic of Uganda ("we", "our", "us"), provides these Terms of Service to govern your use of our website, platform, and services.

1. Acceptance of Terms

By accessing or using the Akeyo Africa website (www.akeyoafrica.com) or the Auxo Connect platform (auxo.akeyoafrica.com), you agree to be bound by these Terms of Service and the laws of the Republic of Uganda. If you do not agree, please do not use our services.

2. Description of Services

Akeyo Africa provides agricultural risk intelligence, credit scoring, and data analytics services to financial institutions, SACCOs, cooperatives, and other organizations serving smallholder farmers in Uganda. Our Auxo Connect platform offers subscription-based access to farmer verification, field data collection, and credit assessment tools. All services are provided from our registered office in Kampala, Uganda.

3. Account Registration

Access to certain features requires account registration. You agree to:

Provide accurate and complete registration information
Maintain the confidentiality of your login credentials
Notify us immediately of any unauthorized account use
Accept responsibility for all activity under your account

Accounts are provisioned after payment verification. We reserve the right to suspend or terminate accounts that violate these terms.

4. Subscriptions and Payments

Subscription fees are denominated in Ugandan Shillings (UGX) and charged as described on our pricing page. All payments are processed through PawaPay, a mobile money payment gateway. Fees are non-refundable except as expressly stated. We reserve the right to modify pricing with 30 days' notice. Standard and Custom plans are subject to custom terms agreed upon at sign-up. Late or non-payment may result in suspension of access to the platform.

5. Acceptable Use

You agree not to:

Use our services for any unlawful purpose under Ugandan law
Attempt to gain unauthorized access to our systems
Interfere with the proper functioning of the platform
Submit false or misleading information
Reverse-engineer, decompile, or extract the source code of our platform
Use our data or scoring outputs to compete with our services

6. Intellectual Property

All content, trademarks, software, and intellectual property on our website and platform are owned by Akeyo Uganda Limited or our licensors. You may not reproduce, distribute, or create derivative works without our prior written consent. The "Akeyo Africa" and "Auxo Connect" names, logos, and brands are proprietary to Akeyo Uganda Limited.

7. Data Ownership and Use

You retain ownership of data you submit to our platform. You grant us a license to use this data to provide our services, improve our platform, and generate aggregated analytics. We do not share identifiable farmer data with third parties without your consent, except as required by Ugandan law. We process all personal data in accordance with our Privacy Policy and the Data Protection and Privacy Act, 2019.

8. Disclaimer of Warranties

Our services are provided "as is" without any warranties, express or implied, to the extent permitted by Ugandan law. While we strive for accuracy in our risk assessments and credit scores, we do not guarantee that they will be error-free or that they will meet your specific requirements. Credit decisions based on our scores are the sole responsibility of the subscribing institution. Scores and assessments are provided as decision-support tools and do not constitute financial or legal advice.

9. Limitation of Liability

To the maximum extent permitted by the laws of the Republic of Uganda, Akeyo Uganda Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim. Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence.

10. Termination

We may terminate or suspend your access to our services at any time, with or without cause, including for breach of these terms. Upon termination, your right to use the services ceases immediately. We retain the right to retain data as required by Ugandan law. Termination does not affect any rights or obligations that have accrued prior to termination.

11. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Uganda.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance of the new terms.

13. Donations and Contributions

All donations and contributions made to Akeyo Uganda Limited are voluntary and non-refundable. No goods, services, equity, ownership, or any other benefit is conferred in exchange for any donation. Akeyo Uganda Limited retains full and sole discretion over the use, allocation, and deployment of all donated funds in furtherance of its mission and objectives. Donors shall not be entitled to any special privileges, voting rights, or benefits by virtue of making a donation. Donations are not tied to any specific project, activity, or outcome unless expressly agreed in writing by both parties. This clause does not create any enforceable obligation or expectation on the part of the donor.
